Web Design Terms & Conditions

This agreement governs the subscription of website design and development services provided by Cofellow Nigeria. The term “Cofellow” refers to Cofellow Nigeria and “Client” or “you” refers to the person subscribing to the services. By using the services, you acknowledge that you have read and agreed to the terms and conditions outlined in this agreement and all policies on the Cofellow website. The “Site” referred to in this agreement refers to a website on the World Wide Web, and the “Cofellow Site” refers to the specific site located at the URL https://www.clients.cofellow.com.

Acceptance

These terms and conditions apply to all Cofellow website development and design services. Although acceptance of these terms and conditions is not required, a client who accepts a quote is deemed to have accepted these terms.

Charges

The fees for the services are detailed in an email project quotation. Quotes are valid for 14 days, after which Cofellow reserves the right to change or decline a quote. Before the work is provided for review, an advance payment of 70% of the total project quotation is required, with the remaining 30% due upon completion of the work. Payment for services must be made via bank transfer, and the bank information will be provided on the invoices.

Client Review

During the website design and development process, Cofellow will give the client the opportunity to review the appearance and content of the website. If the client does not notify Cofellow of any issues within 10 days of the materials being made available, they will be deemed accepted and approved.

Turnaround Time and Content Control

Cofellow will publicly post or supply the client’s website by the date specified in the project proposal, or at a date agreed upon with the client after the initial payment is received. The client must delegate a primary contact to assist with the project and provide necessary website content (text, images, videos, links, and sound files) in a timely manner. If the required information is not provided within the agreed time frame, Cofellow may impose a surcharge or close the project with the balance becoming payable immediately. The text content should be delivered as a Microsoft Word document or similar format, representing the relevant pages on the website.

Payment

Cofellow will send invoices by email or hard copy before starting the project. Payment (70%) is due upon receipt.

Additional Costs

The client will pay for any extra expenses needed to complete the project, such as buying special fonts or stock photography.

Web Browsers

Cofellow will try to make the website viewable on popular browsers, but cannot guarantee it will work on all browsers or operating systems. If a new browser version causes the website to not display correctly, Cofellow may charge for changes.

Default

If payment is not received within 30 days of the invoice date, the account is considered in default. Cofellow may remove any material stored on its web space but is not responsible for any loss of data. The client still needs to pay any remaining charges. If a check bounces, the account will be in default until full payment is received. If Cofellow has to take legal action, the client will pay for the legal fees and collection costs.

Termination

If the client wants to end the services, they must send a written notice. They will be charged for work done up to the date of cancellation, and the payment is due within 30 days.

Indemnity

The client must use Cofellow’s services for legal purposes only and will be responsible for any damages caused by their use.

Copyright

The client owns the copyright to the data, files, and logos provided, but must obtain permission for any third-party copyrighted material. Cofellow will not be held responsible for any claims from the client’s inability to obtain proper permission.

Media Delivery

Unless specified otherwise, the client must provide text in electronic format and all photos and graphics in high-quality prints or electronic format. Cofellow will try to return the original images and materials, but it’s not guaranteed.

Design Credit

A link to Cofellow will appear at the bottom of the client’s website, either in small text or with a small graphic that matches the overall website design. The client agrees to have the website included in Cofellow’s portfolio.

Access Requirements

If the website is hosted on a third-party server, Cofellow must be granted temporary read/write access to the client’s storage directories accessible through FTP. Other resources may also need to be configured on the server.

Post-Placement Alterations

Cofellow is not responsible for any changes made by third parties to the client’s pages after installation.

General

These terms and conditions take precedence over all previous agreements. The client’s signature or payment of a fee signifies agreement to these terms and conditions.

Governing Law

This agreement is governed by Nigerian law.

Liability

Cofellow, its employees, and agents cannot be held responsible for any inaccuracies, omissions, errors, or damages caused to the client’s artwork/photos. If a breach occurs, the maximum liability of Cofellow is limited to the amount paid for their services.

Simplified Severability

If any part of the agreement is found to be invalid, illegal, or unenforceable, it will be replaced with a valid and enforceable provision that best reflects the original intention of the parties.
