Web Hosting Terms & Conditions

This agreement is about the website hosting services that Cofellow provides. When we say “Cofellow,” we mean Cofellow Nigeria, and when we say “Client” or “you,” we mean the person who is using the services. By using the services, you’re agreeing to the terms and conditions outlined in this agreement, as well as all the policies on the Cofellow website. When we say “Site” in this agreement, we mean any website on the World Wide Web, and when we say “Cofellow Site,” we mean the specific site located at the URL https://www.clients.cofellow.com.

Acceptance

All of Cofellow’s web hosting services are subject to these terms and conditions. If you sign up for our web hosting service or accept a quote from us, it means you agree to these terms and conditions, even if you didn’t explicitly accept them.

Storage and Security

You are responsible for keeping your server and its content safe from damage or loss. It’s important that you keep your password and account information confidential because you are solely responsible for any activity, charges, or misuse that occurs on your account. You should take measures to prevent loss or damage to your server content, maintain backups, and ensure the confidentiality, and security of your password. Using your account for storing electronic files is prohibited, and if we need to delete archives to improve overall server performance, we are not liable for any loss, damage, or destruction of your content. Our services are not PCI (Payment Card Industry) compliant, so you cannot use them for such purposes.

Third-Party Software

We provide third-party software for your account management, and you agree to use it as per the third-party terms of service. You are solely responsible for any fees or licenses required for using third-party software installed on your account.

Billing and Payment

You are responsible for monitoring your service renewals and orders. If there is an error, you must notify us immediately. We are not liable for any damages resulting from or related to any failure or delay of domain registration, transfer, or renewal. You must pay all fees according to our fee schedule, and in case of unpaid fees, we may terminate your account or withhold/suspend services. We may provide a grace period of three days after the payment is due, but we may charge a $20.00 fee for reinstating accounts that have been suspended or terminated. You must pay all taxes, fees, and governmental charges.

Termination and Cancellation Policy

Your agreement with us starts on the invoice’s commencement date and continues for the Initial Term, which is specified in the invoice. It will automatically renew for successive terms unless terminated or canceled by either party. If we terminate or suspend your services, we will not refund any pre-paid fees, and we may take control of any domain name associated with the terminated services. If you cancel your account within the 30-day money-back guarantee period, you may receive a refund. If you default, you will bear all costs of termination, and we may delete all information related to you upon termination.

Customer Support

We provide customer support for Cofellow service-related issues at no additional cost. However, if the issue is not service-related, we may charge additional fees or refuse support. Any fees paid for non-service related support are non-refundable. Cofellow reserves the right to cooperate with legal authorities and/or injured third parties in the investigation of any suspected crime or civil wrongdoing.

Legal Purpose

You can only use your web hosting account and related electronic services for legal purposes under all applicable laws. It’s not intended for storing electronic files, and any violation of the AUP or this agreement may result in the termination of our services without notice.

Modification

Cofellow reserves the right to modify any of these terms and conditions at any time, without notice to You. You are responsible for regularly reviewing these terms and conditions. Your continued use of the Services following any such modification constitutes Your agreement to such modified terms and conditions.

Indemnification

You agree to indemnify and hold harmless Cofellow, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney’s fees) arising from or relating to Your use of the Services, Your violation of any term of these terms and conditions, Your violation of any third-party right, including without limitation any copyright, property, or privacy right, or any claim that Your use of the Services has caused damage to a third party.

Limitation of Liability

In no event shall Cofellow, its officers, directors, employees, or agents be liable to You or any third party for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from Your use of the Services, including without limitation any lost profits or revenues, loss of use, business interruption, loss of data, or any other commercial damages or losses, arising out of or in connection with these terms and conditions, even if Cofellow has been advised of the possibility of such damages.

Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Cofellow operates, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these terms and conditions shall be brought in a court of competent jurisdiction in the same jurisdiction in which Cofellow operates.

Entire Agreement

These terms and conditions, together with any applicable order form and service level agreement, constitute the entire agreement between You and Cofellow regarding the Services and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral. Any waiver of any provision of these terms and conditions will be effective only if in writing and signed by Cofellow.
